CONSTITUTION OF THE UNIVERSITY OF
MANCHESTER MALAYSIAN STUDENTS' SOCIETY
CHAPTER I
PRELIMENARY
Article 1
1. The name of this Society shall be the University of Manchester
Malaysian Students' Society. 2. The abbreviation in all languages shall be
MSS Owens. 3. The Constitution may be cited as the University of
Manchester Malaysian Students' Society or the MSS Owens as its short
title.
Article 2
The Emblem of the Society shall be a slanted image of the Malaysia Flag
with the small arch of the University of Manchester building together with
the words MSS Owens. This Emblem is used on the letterhead of the Society
and also used as the common seal.
Article 2A
'Society' means the University of Manchester Malaysian Students'
Society. 'Members' mean the registered Members of the University of
Manchester Malaysian Students' Society. 'Malaysia' means the Federation of
Malaysia and all her territories and dependencies comprising of the Sate
of Johor Darul Ta'azim, Kedah Darul Aman, Kelantan Darul Naim, Melaka
Darul Azim, Pahang Darul Makmur, Perak Darul Ridzuan, Selangor Darul Ehsan,
Negeri Sembilan Darul Khusus, Perlis Indera Kayangan, Terengganu Darul
Iman, Pulau Pinang, Sarawak, Sabah and the Federal Territories of Kuala
Lumpur and Labuan, the administrative capital of Putra Jaya and such
territories that may enter the federation. 'Calendar year' means the year
according to the Common Era (CE) method of calculation, beginning in
January and ending in December. 'Malaysian' means citizen of the
Federation of Malaysia (including the Straits Settlements of Penang,
Malacca, Labuan and the Dindings) by right of birth and naturalisation.
Enemy aliens and fugitives of the Government of His Majesty the Yang
di-Pertuan Agong, Their Royal Highness the Rulers and their Excellencies
the Yang di-Pertua-Yang di-Pertua Negeri are automatically deemed to be
excluded from its meaning.
Chapter II
Purposes and Principles
Article 3
The purposes of this Society are:
1. To facilitate interaction and friendly relations among Malaysians
and non-Malaysians in the University of Manchester, University of Salford,
UMIST and Manchester Metropolitan University. 2. To provide an outlet for
social, cultural and academic activities among its Members. 3. To promote
and encourage respect for the Malaysian way of life and for universal
kinship without distinction as to race, sex, language, religion and
political affiliation.
Article 4
The Society and its Members, in pursuit of the Purposes stated in
Article 3, shall act in accordance with the following Principles:
1. The Society is based on the principle of the independence and
equality of its Members. 2. All Members, in order to ensure to all of them
the rights and benefits resulting from the Membership, shall fulfil in
good faith the obligation assumed by them in accordance with the mutual
agreement and the Constitution. 3. All Members shall provide the Society
support and assistance to any projects it organise in accordance with the
Constitution. 4. The Society shall seek the co-operation of those
Societies which are not Members to act in accordance with these Principles
so far as may be possible and necessary.
Chapter III
Membership
Article 5
1. Membership of the Society is open to all students registered with
The University of Manchester, UMIST, The University of Salford and
Manchester Metropolitan University who accept the obligations contained in
the present Constitution and able and willing to carry out the
obligations. 2. Any person who fulfils the requirement of Paragraph 1 may
apply to join the Society by completing the Membership form supplied by
the Society. 3. The subscription per member per session shall be at the
rate decided by the Committee.
Article 6
1. A Member of the Society, which has persistently violated the
Principles contained in the present, Constitution maybe suspended from the
exercise of rights and privileges of Membership or expelled from the
Society by the Committee.
Chapter IV
THE COMMITTEE
Composition
Article 7
1. The Committee shall consist of nine (9) elected Members namely the
President, Vice-President, Secretary, Treasurer, Social Secretary,
Publications Secretary, Sports Secretary, Publicity Secretary and
Webmaster. 2. If there is a vacancy in the position of President, the
Vice-President shall preside until such replacement is found by the
Committee in a by-election during an Emergency General Meeting to be held
within one month of the vacancy. 3. If a vacancy arises in any other
office of the Committee, a replacement will be found by the Committee in a
by-election during an Emergency General Meeting to be held within one
month of the vacancy. 4. The quorum for a Committee Meeting is 7 (seven)
Committee Members.
Functions and Powers
Article 8
1. In order to ensure prompt and effective action by the Society, its
Members confer on the Committee primary responsibility for the provisions
in the Constitution, and agree that in carrying out its duties under this
responsibility the Committee acts on its behalf. 2. In discharging these
duties the Committee shall act in accordance with the Purposes and
Principles of the Society.
Article 9
The Members of the Society agree to accept and respect the decisions of
the Executive Committee in accordance with the Constitution.
Article 10
The Committee has the power to enact such by-laws and procedure
necessary for the smooth administration of the Society. The Publicity
Secretary shall inform the Members of the Society of the existence of such
enactment.
Article 11
1. A Member of the Committee may be suspended from office by unanimous
vote of the Committee Members. 2. A Member of the Committee may be removed
from office by unanimous vote of the Committee Members.
Article 12
The Committee shall hold meeting once a week of which the date shall be
decided in each preceding meeting. The General Secretary shall call the
meeting on direction of the President at least 1 (One) day before the
actual date of the meeting.
Article 13
The decision of the Committee meeting shall be made on an ordinary
majority of the Committee Members present and voting.
Article 14
Any Member of the Committee who is absent from its meeting shall send a
letter stating the reasons for absence to the President before or within
seven (7) days after the date of the meeting. Failure to attend two
successive meetings without reasonable cause and failure to so advise the
Committee on this matter shall be deemed a formal resignation from the
Committee.
Duties of Individual Officers
Article 15
1. The President shall: § chair all Committee Meetings. § chair all
General Meetings. § chair all A.G.M.. § supervise the overall working of
the Society.
2. The Vice President shall: § assist the President in his/her duties.
§ assume the President's duties when he/she is not present.
3. The General Secretary shall: § present an Annual Report at the
A.G.M. § record and prepare the minutes of all the General Meetings and
Committee meetings. § also be responsible for all the general
correspondence and documents and keep them in file.
4. The Treasurer shall: § present a financial report at the A.G.M. §
keep in the Society Account Book a continuous record of all financial
transactions and give official receipt for all payments. § receive and
assess Annual Budgets from each Committee Member and ensure that they are
planned reasonably. § conclude all financial business and shall furnish
his Account Book and Balance together with all accounts and receipts for
examining at the end of the financial year which will be terminated one
week before the A.G.M.
5. The Social Secretary shall be responsible for organising social
activities for the Society.
6. The Sports Secretary shall be responsible for organising sport
activities and events for the Society.
7. The Publication Secretary shall be responsible for all the
publications of the Society.
8. The Publicity Secretary shall be responsible for all notices making
and publicity of the Society. He/ she shall also be responsible for
disseminating information to Members regarding activities being held by
the Society.
9. The Webmaster shall be responsible for maintaining the official
website of the Society.
Chapter V
ELECTION
Procedures
Article 16
1. An election of the Committee shall be held once a year at the
General Meeting of the Society. The Election shall be on a
first-past-the-post basis. 2. The positions that shall be contested are
those contained under Paragraph 1 of Article 7 of Chapter III and any such
position that the current Committee deem necessary to be put up for
election. 3. Each nomination must have 2(two) seconders and the contestant
must submit a manifesto to the Committee. 4. All existing Members of the
Society who are not in their final year of studies are eligible to run for
an office.
Article 17
The Election shall be held by secret ballot where members shall have
one (1) vote each and the incumbent Committee members shall have two (2)
votes each.
Article 18
Members will be notified of the Election a month in advance and
nominations will be accepted a month before the Election.
Chapter VI
THE GENERAL MEETING
Article 19
1. The General Secretary of the Committee shall call for the meeting on
the agreement and direction of the President, and notice to this effect
shall be given to the Members at least 2(two) weeks before the date of the
meeting. 2. Any Members may present a motion for debate in the meeting as
long as notice to this effect is submitted to the General Secretary of the
Committee at least 7(seven) days in advance. 3. The voting on all matter,
with the exception of the Executive Committee election, shall be by a show
of hand where each Member has one (1) vote. Only Members in attendance may
vote. 4. The quorum shall be one third of the Members or 30 Members in
attendance.
Article 20
The General Meeting shall choose at an annual interval of not more than
one calendar year a new Committee that will consist of the positions
stipulated under Article 7. The new Committee shall come into power
immediately after the conclusion of the General Meeting.
Article 21
Resolutions, Declarations, and/or new Policies may be passed in the
General Meeting. The Secretary shall inform all members of the
Resolutions, Declarations, and/or new Policies passed two (2) weeks after
the General Meeting had been adjourned.
Chapter VII
FINANCIAL PROCEDURES
Article 22
All financial transactions of the Society shall be the responsibility
of the Treasurer.
Article 23
The President and the Treasurer shall act as the signatory for any
account held by the Society.
Article 24
The standard annual subscription fee shall be decided by the Committee
and payment shall be made upon joining the Society.
Chapter VIII
AMENDMENTS
Article 25
Amendments to the present Constitution shall come into force for all
Members of the Organisation when they have been passed on a two third
majority vote of the members of the Society.
Chapter IX
ADVISOR
Article 26
The Committee can appoint advisor(s) whom they think would assist in
the running of the Society. The advisor(s) should be appointed from the
past Committee members. The advisor(s) would be summoned for assistance
when assistance is needed.
Chapter X
MISCELLANEOUS
Article 27
Any confusion or conflict, which may arise regarding any part of the
Constitution, the President of the Society, has absolute power to
interpret any part of the Constitution and his interpretation shall
prevail as the meaning of the Constitution.
Article 28
The Society accepts the exclusive rules and jurisdiction of the English
Court.
